1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the websites, tools, products, content, workshops, and services (collectively, the "Services") offered by Bookshelf AI Publishing Solutions LLC ("Bookshelf AI," "we," "us," or "our"). By accessing or using the Services, or by purchasing any product, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old to use the Services or make a purchase. By using the Services, you represent that you meet this requirement and that the information you provide is accurate.
3. Description of Services
We provide AI literacy education, digital tools, content, and related products, including but not limited to the BLAQ Question Finder, the Bookshelf AI Workshops, and Community Impact Partnerships. We may modify, suspend, or discontinue any part of the Services at any time.
4. Accounts and Access
If a Service requires an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
5. Purchases, Pricing, and Refunds
Pricing. Prices for products, including the BLAQ Question Finder and any premium tiers, are displayed at the point of purchase. We may change prices prospectively at any time.
Payment. Payments are processed securely through Stripe. By purchasing, you authorize us, through Stripe, to charge your selected payment method.
Digital products. Many of our products are digital goods delivered electronically (for example, an emailed report). Because these are delivered immediately and cannot be returned, all sales of digital products are final unless otherwise stated at the point of purchase, except where a refund is required by law. If a product fails to deliver due to a technical error on our end, contact us at michelleharris@bookshelfaipublishing.com and we will redeliver it or issue a refund at our discretion.
Workshops and programs. Refund and cancellation terms for workshops, the Author-preneurship Lab, and other programs are stated at registration and incorporated into these Terms by reference.
6. Intellectual Property
Our property. All content, materials, software, designs, methodologies, frameworks, text, graphics, logos, and trademarks made available through the Services are owned by or licensed to Bookshelf AI Publishing Solutions LLC and are protected by copyright, trademark, and other laws.
The BLAQ Framework. The BLAQ Framework, including its name, structure, methodology, associated matrices, and all derivative materials and training, is the proprietary intellectual property of Bookshelf AI Publishing Solutions LLC. "BLAQ," "BLAQ Framework," and associated marks are trademarks of Bookshelf AI Publishing Solutions LLC. Nothing in these Terms grants you any right, title, or interest in the BLAQ Framework or any of our trademarks.
Limited license to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and the outputs you purchase for your own personal or internal business use. You may not copy, resell, redistribute, sublicense, reverse-engineer, scrape, or create derivative works from our content, tools, or methodologies without our prior written consent, and you may not use our materials to build, train, or improve a competing product or service.
7. User-Generated Content
Your content. "User Content" means any text, prompts, business information, comments, or other material you submit to or through the Services. You retain ownership of your User Content.
License you grant us. You grant Bookshelf AI a worldwide, non-exclusive, royalty-free license to host, store, process, and use your User Content solely as necessary to operate and improve the Services and to deliver the outputs you request. We will not publicly attribute User Content to you without your consent.
Your responsibility. You represent that you have the right to submit your User Content and that it does not infringe any third party's rights or violate any law. You may not submit content that is unlawful, infringing, defamatory, harassing, or harmful.
DMCA / copyright complaints. If you believe content on the Services infringes your copyright, send a notice with the information required under the Digital Millennium Copyright Act to our designated agent at michelleharris@bookshelfaipublishing.com. We will respond to valid notices, including by removing infringing material and, where appropriate, terminating repeat infringers.
8. Use of Artificial Intelligence; No Professional Advice
Certain Services use artificial intelligence to generate outputs. AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific circumstances. You are responsible for reviewing and verifying any output before relying on it. The Services and their outputs are provided for general informational and educational purposes only and do not constitute legal, financial, medical, tax, or other professional advice. You should consult a qualified professional before acting on any output.
9. Acceptable Use
You agree not to: use the Services for any unlawful purpose; interfere with or disrupt the Services; attempt to gain unauthorized access; scrape or harvest data; misrepresent your identity; or use the Services to develop a competing offering.
10. Disclaimers
THE SERVICES AND ALL CONTENT AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL PRODUCE A PARTICULAR RESULT, INCLUDING ANY BUSINESS, REVENUE, OR MARKETING OUTCOME.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BOOKSHELF AI PUBLISHING SOLUTIONS LLC AND ITS OWNER, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold harmless Bookshelf AI Publishing Solutions LLC and its owner and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms or any law.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The parties will attempt to resolve any dispute informally first. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in El Paso County, Colorado, and you consent to that jurisdiction and venue. 14. Changes to These Terms
